Job Requirements Job Title: Counsel Corporate Secretariat at IDFC FIRST Bank Function/Department: Corporate Function > Secretarial Job Purpose: As a Counsel - Corporate Secretariat, you will be responsible for providing legal support and advice to the bank's corporate secretarial team. You will work closely with the senior management and other departments to ensure compliance with all corporate laws and regulations. Supporting the Bank in compliance with the applicable provisions of the Companies Act, 2013, SEBI regulations and Banking Regulations. Roles and Responsibilities: Statutory compliance with SEBI Laws, Companies Act and requisite RBI regulations. Liaising with Stock Exchanges, Depositories, Intermediaries and ensuring necessary compliances for the Listed Bank. Ensuring operational efficiency in execution of tasks and repository of information/ records. Providing sound advice and guidance to the team and business on regulatory matters. Preparing Minutes/ deliberations held at the meeting, circular resolutions, etc. Assisting in Corporate Actions/ Restructuring activities, from time to time. Preparation & Coordinate for the Board/General meetings and follow-up actions on the outcome thereof. Maintenance of Secretarial records and filing of various forms, resolutions, returns under the provisions of the Companies Act and SEBI regulations. Coordination with internal and external Stakeholders for necessary flow of information and documents. Provide legal support and advice to the corporate secretarial team on various matters related to corporate laws and regulations Ensure compliance with all applicable laws, regulations, and internal policies Assist in the preparation of board and committee meetings, including drafting agendas, minutes, and resolutions Education Qualifications: Graduation: Bachelor of Commerce (B.com) / Bachelor of Science (B.Sc.) / Bachelor of Arts (BA) / Bachelor of Business & Insurance (BBI) / Bachelor of Management Studies (BMS) Post-Graduation: Master of Business Administration (MBA) / Master of Commerce (M.com) / Master of Arts (MA) Professional Degree: Company Secretary Experience: 10 - 12 years of relevant experience in Corporate Secretariat & Governance activities,
