Job Title: Company Secretary (CS) Location: Siliguri Department: Legal & Compliance Reports To: Director Experience: [310 years, as applicable] Qualification: Qualified Company Secretary Salary: Negotiable Job Summary: We are seeking a qualified and experienced Company Secretary to join our organization. The ideal candidate will be responsible for ensuring that the company complies with all statutory and regulatory requirements, managing board processes, and providing governance support to the Board of Directors. Key Responsibilities: Ensure compliance with Companies Act, SEBI regulations, and other corporate laws. Organize and manage Board meetings, Annual General Meetings (AGMs), and committee meetings including drafting notices, agendas, and minutes. Maintain statutory books, including registers of members, directors, and secretaries. File necessary returns and forms with the Ministry of Corporate Affairs (MCA), SEBI, and other regulatory authorities. Provide legal and regulatory support on corporate matters including share issuance, restructuring, and corporate governance. Advise the Board on their legal and governance responsibilities. Liaise with external regulators and advisors such as lawyers and auditors. Manage corporate records, resolutions, and other governance documents. Assist in drafting and vetting contracts, legal documents, and company policies. Monitor changes in relevant legislation and ensure the companys adherence. Key Skills & Competencies: In-depth knowledge of corporate laws, SEBI, FEMA, and listing regulations. Strong written and verbal communication skills. Detail-oriented with high standards of integrity and confidentiality. Proficiency in compliance management tools and ROC filings. Ability to interact with senior management and regulatory bodies. Preferred Qualifications: Additional qualification in Law (LLB) or Chartered Accountancy (CA) is a plus. Experience in listed companies or handling IPOs will be an advantage.
